“Business Entry” Working Group meeting was held

A meeting of the "Business Entry" Working Group of the Commission on Business Environment and International Rankins, led by the State Tax Service (STS) under the Ministry of Economy, was held. The event was attended by members of the working group and officials directly involved in its activities, as well as representatives of law and consulting companies.

Samira Musayeva, the head of the working group and deputy head of the State Tax Service under the Ministry of Economy, welcomed the meeting participants and conveyed to their attention the issues on the agenda.

Head of the Secretariat of the Commission on Business Environment and International Ranking, Sector Head of the Department of Economic Policy and Industrial Issues of the Administration of the President of the Republic of Azerbaijan Vusal Shikhaliyev stated that significant work has been done in the field of starting a business in the country within the current year. Noting that the working group has come up with a number of legal initiatives, the sector head said that in order to electronicize and facilitate the processes of registering each change made to the constituent documents of legal entities, as well as each subsequent change of registered facts, and to ensure the proactivity of the register, draft laws “On State Registration and State Register of Legal Entities” and “On Amendments to the Laws of the Republic of Azerbaijan on Notary” have been prepared. Currently, these documents are at the stage of being submitted for discussion by the Milli Majlis.

Then, Deputy Head of the State Tax Service Samira Musayeva reported on the work carried out within the framework of the Roadmap in 2025. She noted that a number of important works have been carried out in 2025 to facilitate the registration procedures of legal entities. The registration authority has provided legal and technical capabilities for the process of maintaining a register of information on beneficial owners, and the process has already begun.

Touching upon the drafts "On State Registration and the State Register of Legal Entities " and "On Amendments to the Laws of the Republic of Azerbaijan "On Notary", the Deputy Head noted that those documents envisage proactively receiving from the notary public the contracts related to the alienation of the founding share (purchase and sale agreements, donation agreements, etc.) and encumbrance by the registration authority and recording the relevant changes in the register.

Seymur Ismayilov, a member of the working group, Deputy Head of the Notary, Registration and Registry Department of the Ministry of Justice, provided information on the work done to verify the foreign origin documents of the founding foreign legal entity, which were issued an electronic apostille during the electronic state registration of foreign-invested LLCs, through the Electronic Apostille Program, and to submit their translation to the registration authority by a notary. He noted that the preparatory process in this regard was ongoing and was planned to put the project into operation after resolving some technical issues.

Tamerlan Babayev, a member of the working group, Head of the Citizenship Issues Division of the Consular Department of the Ministry of Foreign Affairs (MFA), spoke about the work done by the MFA to establish the "Consular Legalization" information system and finalize all necessary work carried out until the documents submitted through that system was sent to the registration authority, following the amendments made to the Law "On State Registration and State Register of Legal Entities". He noted that the necessary equipment has been purchased for 37 diplomatic missions for the operation of the electronic information system, legal and regulatory documents have been prepared, and work is underway on technical support.

The meeting exchanged views on further improving the business establishment processes. The consulting companies participating in the meeting proposed a separate meeting to discuss the amendments to the Law "On State Registration and State Register of Legal Entities" and practical issues related to information on the beneficial owner.
